1Introduction

Denmaq Technologies Pvt. Ltd. is an IT solutions and software engineering company registered in Noida, Uttar Pradesh, India (LG-05, H-202, Dallas 1 Business Park, Sector-63, Noida, UP - 201309).

By accessing our website or entering into a Statement of Work (SOW), Proposal, or Master Services Agreement (MSA) with Denmaq, you agree to comply with and be bound by these Terms. If you do not accept these Terms, you must immediately cease accessing our website and services.

2Definitions

• "Client" means any individual, corporate entity, or organization engaging Denmaq for software design, development, or consulting services.
• "Services" means all software engineering, UI/UX design, mobile application development, cloud hosting setup, SEO optimization and IT consulting executed by Denmaq.
• "Deliverables" means the specific codebases, applications, design assets and documentation created by Denmaq for a Client under an agreed Statement of Work.
• "Website" refers to the online domain denmaq.com and its official subpages.

3Website Usage Rules

When using denmaq.com, you agree to adhere to ethical web standards and refrain from:

• Attempting unauthorized access to our servers, databases, source repositories, or underlying infrastructure.
• Scraping, copying, or duplicating proprietary text, UI graphics, design layouts, or branding without prior written authorization.
• Submitting false, malicious, or spam inquiries through contact forms or career portals.
• Introducing viruses, malware, trojans, or automated bot traffic designed to impair site availability.

4Project Engagements & Scope

Specific project scopes, milestones, delivery dates and technical requirements are formally established through a Statement of Work (SOW) or Proposal. Standard project conditions include:

• Milestone Schedules: Project timelines are estimates contingent upon prompt client feedback, timely provision of assets and approval sign-offs.
• Scope Modifications: Any requests for additional features, code revisions, or architectural alterations outside the original SOW will require a formal Change Order and may impact cost and delivery timelines.
• Client Responsibilities: The Client agrees to provide accurate project specifications, API keys, content materials and required third-party credentials in a timely manner.

5Billing & Payment Terms

Fees for services rendered are defined in the relevant SOW or commercial agreement. Payment terms are governed as follows:

• Milestone Payments: Projects typically require an initial deposit prior to kickoff, with remaining installments tied to defined milestone deliverables.
• Invoicing: Invoices are payable within fourteen (14) business days of issuance unless otherwise stipulated in writing.
• Taxes: Fees are exclusive of applicable statutory taxes (such as GST in India or local VAT/sales taxes), which will be itemized on invoices.
• Late Payments: Overdue invoices may incur a late payment fee of 1.5% per month on the outstanding balance until settled in full.

6Intellectual Property Rights

Intellectual property allocation is strictly defined to safeguard both client assets and company pre-existing technology:

• Custom Deliverables Ownership: Upon full and final settlement of all project invoices, Denmaq transfers full ownership rights of the custom source code and UI designs created specifically for the Client under the applicable SOW.
• Denmaq Background IP: Denmaq retains full ownership of its pre-existing code frameworks, open-source modules, internal developer utility tools and proprietary algorithms used in executing projects. Client receives a non-exclusive license to use embedded background IP solely within the deliverable.

7Confidentiality & NDA

Both parties agree to maintain strict confidentiality regarding all proprietary business data, trade secrets, software architecture, technical documentation and pricing details shared during the engagement. Confidential data will not be disclosed to any third party without explicit written consent.

8Warranties & Disclaimers

Denmaq warrants that software engineering services will be executed in a professional, workmanlike manner using industry-standard coding practices.

• Bug Fix Warranty: Denmaq provides a standard 30-day post-launch warranty period to repair software defects directly attributable to code written under the SOW.
• Disclaimer: Except as explicitly stated, all services and website contents are provided on an "AS IS" and "AS AVAILABLE" basis. Denmaq does not warrant uninterrupted third-party API availability or server uptime outside our controlled infrastructure.

9Limitation of Liability

To the maximum extent permitted by applicable law, Denmaq Technologies Pvt. Ltd. shall not be liable for any indirect, incidental, punitive, or consequential damages (including loss of profits, revenue, or business data) arising out of or related to our services or website. Denmaq's total aggregate liability under any engagement shall be capped at the total fees actually paid by the Client to Denmaq for the specific SOW giving rise to the claim.

10Termination & Offboarding

Either party may terminate a project engagement for convenience by providing thirty (30) days' written notice, or immediately upon written notice if the other party breaches a material term of the agreement. Upon termination, the Client shall pay Denmaq for all work completed and expenses incurred up to the effective termination date.

11Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes or legal proceedings arising out of or in connection with these Terms or Denmaq services shall be subject to the exclusive jurisdiction of the competent courts in Noida / Gautam Buddha Nagar, Uttar Pradesh, India.

12Changes to Terms & Inquiries
